Terms of Service

Welcome.
Before proceeding in the use of KeFirma® OTP we encourage you to carefully read the following Terms of Service, which we will later also refer to as the "Agreement".

Article 1 - Definitions

For the purposes of this Agreement the terms listed herein shall be assigned the following meanings and shall always be used with a capital letter, both singular and plural:

  • Codice di Amministrazione Digitale (CAD): established by Decreto Legislativo n. 82 del 7 marzo 2005, is a single text that brings together and organizes the rules regarding the computerization of the Public Administration in its relations with citizens and businesses;
  • EIDAS: is Regulation (EU) No. 910/2014 of the European Parliament and of the Council of July 23, 2014, on electronic identification and trust services for electronic transactions in the internal market and repealing Directive 1999/93/EC, as amended;
  • Simple Electronic Signature (FES): is a set of data in electronic form, either attached to or connected by logical association with other electronic data, used as a method of computer identification (Art. 1, lett. q CAD);
  • Advanced Electronic Signature (FEA): is a set of data in electronic form attached to or linked to a computer document that enables the identification of the signer of the document and guarantees a unique connection to the signer, created by means over which the signer can retain exclusive control, linked to the data to which said signature relates in such a way as to make it possible to detect whether the data itself has subsequently been modified (Art. 1, para. 1, lett. q-bis CAD);
  • One Time Password (OTP): a disposable password, valid only for a single access session or transaction, which guarantees high security standards and solves the problems associated with the use of the traditional password.
  • Service: any product, content and service related to this Agreement and provided in digital format by the Owner;
  • Owner: Kedos s.r.l., Via Chiavari, 5/E - 43125 Parma (PR) Cap Soc 220,000.00 € i.v. Tax Code, VAT No., Parma Business Register No. 02629980349, PEC address kedos@open.legalmail.it;
  • User: indicates a registered user at https://www.kefirma.it.

Art. 2 - Object

KeFirma® OTP is a service that allows to realize Simple Electronic Signature (FES) or Advanced Electronic Signature (FEA) processes through the use of One Time Password (OTP).
The Service allows one or more PDF documents to be signed through a mechanism for verifying the identity of the signing User based on sending an SMS containing a random OTP code to their cell phone.

Art. 3 - Site registration and purchase of signatures.

In order to use KeFirma® OTP, you must register your own account at https://www.kefirma.it and purchase a batch of prepaid signatures.
To register, you must be a VAT number holder.
The KeFirma® OTP service can only be used for business purposes.
After selecting the batch with the desired number of signatures, the order will be placed in the site's shopping cart and you will be prompted to enter the account registration data (company name, tax code, VAT number, SDI code and PEC for Italian User, billing address, City, ZIP code, Province, Country, e-mail address and password).
When finished, you will be able to proceed with the payment of the order and thus complete the creation of the account.
By registering for the website, you become a User and agree to be bound by these Terms of Service.

Art. 4 - Use of signatures

Upon completion of registration, the User will receive an order confirmation e-mail for the purchased batch of signatures. The updated price of signature batches is listed on our website at https://www.kefirma.it/en/negozio/.
A signature is used each time the User sends a PDF document or a .zip file containing a set of PDF documents to be signed with KeFirma® OTP.
A batch of signatures has a shelf life of 24 months from the date of activation, if by that time the User has not used all the purchased signatures the remaining ones will be deleted.

Article 5 - Methods of payment and billing

The User may purchase signature lots by means of the payment instruments provided by PayPal.
For Users established in Italy, the Owner will send electronic invoice regarding the purchases made through the SDI, a designated exchange system implemented by the Italian revenue agency.

Art. 6 - Signing Procedure

Signing with KeFirma® OTP follows the following procedure:

  1. The User logs in with his/her credentials, to the private area of the portal https://www.kefirma.it;
  2. The User selects the item "Sign a new document" and the type "OTP Signature";
  3. The name, surname, e-mail address and cell phone number of the person who is to sign the document (signatory) are entered in the fields provided;
  4. The User uploads a PDF document or a .zip file containing multiple PDF documents to be signed;
  5. The signer receives an e-mail containing a link, which can be opened from any web browser, to access the document to be signed;
  6. To access that document, the signer must enter the OTP code received via SMS;
  7. Having entered the OTP code, the signer can sign the document through his or her browser;
  8. A digital stamp containing the following information is generated and placed on the document page: signer's first and last name, date and time of signing;
  9. The document is sealed in PAdES mode with a technical signature certificate. The PAdES signature is intended to ensure that the document cannot be modified after the graphometric signature has been affixed. The latter signature has no value for the purpose of signing the document but is only functional for the security of the signing process.

Art. 7 - Signing Log

At the end of the signing process, a log file of the entire process is generated for possible later verification.
The log file contains detailed tracking of what happened from the time the document is loaded into the signing system, until it is closed.
All events are tracked in the log file with time stamps and, if available, geography. Events tracked in the log file include:

  1. identification of the document to be signed;
  2. e-mail address to which the notification was sent;
  3. phone number and OTP code sent via SMS;
  4. indication about the signer's viewing of pages;
  5. dates, times, and geographic location (if available) of subscriptions.

Article 8 - Security and confidentiality of information

The Owner adopts high security standards to protect the confidentiality of the content of documents uploaded by Users.
These documents are stored on AWS servers located in Italy and managed exclusively by the Owner's staff.
Documents are stored in encrypted form and can be accessed only by the Users who have uploaded them; all communications between user and server are encrypted in https format.
Documents are stored on the server for up to 90 days after they are uploaded and can be deleted at any time by Users.
Data on signature batch captures are anonymized 3 days after the transaction. The Holder undertakes to have its personnel observe the official secrecy provided for in accordance with Article 9 of Decree Law No. 320 of 31.07.1987, converted with amendments into Law No. 401 of 3.10.87, as recalled by Article 5 of Decree Law No. 364 of 17.09.1993, converted with amendments into Law No. 458 of 15.11.1993.

Article 9 - Liability

The Holder will not assume any other obligation or make any other warranty, other than those expressly provided for in this Contract.
Subject to the mandatory limits of the law, the maximum limit of the Owner's liability for damages of any kind, and for any reason whatsoever, resulting from or otherwise related to the performance of the activities offered, shall not exceed the total amount of the consideration paid for the purchase of the Service.

Article 10 - Obligations of the User

The User agrees to use the KeFirma® OTP service only for professional, lawful purposes and in accordance with the provisions of these Terms of Service.
The User agrees to use the KeFirma® OTP service in a manner that does not violate applicable laws or the rights of third parties.

Article 11 - Intellectual Property

All content on the website https://www.kefirma.it, including text, graphics, logos, images, audio and video clips, is the exclusive property of the Owner or its licensors and is protected by copyright laws (Legge n. 633 of April 22nd, 1941) and the Industrial Property Code (Decreto Legislativo n. 30 of February 10th, 2005). Any unauthorized reproduction is prohibited.

Article 12 - Data processing

The processing of personal data is carried out by the Data Controller in accordance with the principles and rules of EU Reg. No. 2016/679 (GDPR). Please refer to the relevant information on the processing of personal data under Art. 13 GDPR available at https://www.kefirma.it/en/privacy-policy/.

Article 13 - Changes to the Terms of Service

The Owner reserves the right to change these Terms of Service at any time and without notice.
Unless otherwise indicated by the Owner, changes will take effect from the date they are posted on our site. Users will be notified by email of the change.

Article 14 - Suspension of the Service

The Owner reserves the right to suspend the Service, suspend an account or remove a User in case of violation of the provisions of law or the terms of this Agreement.
In the above cases, the Owner will send the User a notice by e-mail informing him/her of the reasons why it has taken such action.

Art. 15 - Applicable Law

This Contract is governed by Italian law.
For anything not expressly provided for, reference is made to the provisions of the Civil Code and other applicable regulations on the subject.
The Service is provided in accordance with Italian law and the EIDAS Regulations.

Article 16 - Jurisdiction

For any dispute that may arise between the parties regarding this Agreement and its subsequent amendments and additions, the Court of Parma shall have exclusive jurisdiction.
